Job Summary

We are a leading independent financial services advisory firm working with institutional investors, investment managers, family offices, and other sophisticated market participants worldwide. Our team advises clients on complex transactions across private markets and alternative investments, delivering strategic solutions in a dynamic and fast-paced environment.

We are seeking an experienced, business-oriented General Counsel to join our leadership team. Reporting directly to senior management, you will serve as the company's principal legal advisor, providing strategic legal guidance across all areas of the business while supporting the continued growth of our platform.

Responsibilities

  • Serve as the company's primary legal advisor on corporate, commercial, regulatory, governance, and employment matters.
  • Draft, review, negotiate, and manage a wide range of commercial agreements, including confidentiality agreements (NDAs), engagement letters, service agreements, employment agreements, vendor contracts, and other legal documentation.
  • Advise on and negotiate transaction documentation relating to private market secondary transactions, including purchase and sale agreements, assignment agreements, participation agreements, and other transaction-related documentation.
  • Provide legal support working closely with internal teams and external counterparties to facilitate successful deal execution.
  • Advise management and business teams on legal risks while developing practical, commercially focused solutions.
  • Provide guidance on securities regulations, financial services, privacy, employment, intellectual property, corporate governance, and compliance matters.
  • Manage all legal disputes, claims, and collection issues as they arise, including coordinating strategy, overseeing external counsel, monitoring litigation budgets, and advising senior management on legal risks and resolution strategies.
  • Support regulatory inquiries, audits, and responses to government agencies or regulators as required.
  • Ensure the firm's business practices comply with applicable laws, regulations, and industry standards across relevant jurisdictions.
  • Develop, implement, and maintain internal legal policies, compliance procedures, records management practices, and risk management frameworks.
  • Support strategic business initiatives, corporate transactions, mergers and acquisitions, and other special projects.
  • Manage relationships with external legal counsel and oversee legal matters requiring specialized expertise.
  • Monitor legislative and regulatory developments affecting the alternative investment industry and advise management on potential impacts.

Qualifications

  • Juris Doctor (JD/LLB) and membership in good standing with the Law Society of Ontario.
  • 8+ years of legal experience preferred; however, exceptional candidates with less experience will also be considered
  • Strong experience in corporate and commercial law.
  • Experience negotiating and drafting commercial agreements.
  • Strong understanding of corporate governance, regulatory compliance, and risk management.
  • Excellent analytical, drafting, negotiation, and communication skills.
  • Ability to balance legal risk with practical business objectives.
  • Highly organized with exceptional attention to detail and the ability to manage multiple priorities in a fast-paced environment.
