About The Role: Draganfly Innovations Inc. is seeking an experienced In-House Counsel with 3–5 years of post-graduation experience to join our growing legal team. As Legal Counsel, you will work directly with senior leadership on complex commercial, regulatory, and technology matters while helping shape the legal strategy of a publicly traded, rapidly evolving company. You will partner with executive leadership to support strategic growth initiatives, new market expansion, M&A opportunities, technology development, and key commercial partnerships.
Key Responsibilities:
  • Draft, review, and negotiate a broad range of commercial agreements, including customer contracts, supplier and reseller agreements, NDAs, licensing, government contracts, and strategic partnership agreements.
  • Provide practical legal advice on commercial contracting, business operations, and enterprise risk management.
  • Support corporate governance activities, including board and committee materials, securities filings, and subsidiary management.
  • Assist with the identification, assessment, and mitigation of legal and regulatory risks across the business.
  • Manage and coordinate litigation, disputes, and pre-litigation matters with external counsel.
  • Partner with Sales, Procurement, HR, Finance, Product, and Engineering teams to provide business-focused legal guidance.
  • Develop and maintain contract templates, playbooks, policies, and legal processes to improve operational efficiency.
  • Manage external counsel relationships and legal spend.
  • Support strategic initiatives, including acquisitions, market expansion opportunities, and other corporate transactions.

Qualifications:
  • LL.B. or J.D. from an accredited law school
  • Member in good standing of a Canadian law society or a U.S. state bar.
  • 3–5 years of relevant legal experience, ideally with a combination of private practice and in-house experience.
  • Strong experience drafting, reviewing, and negotiating commercial agreements.
  • Experience providing general corporate support and business-focused legal advice.
  • Knowledge of risk management principles and the ability to identify and mitigate legal risks.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Demonstrated ability to manage multiple priorities and deliver high-quality work in a fast-paced environment.
  • Ability to quickly learn and navigate new regulatory frameworks, industries, and business models.

Nice to Have:
  • Experience supporting a publicly traded company (TSX and/or Nasdaq).
  • Familiarity with export control regulations, including ITAR, EAR, and CGP.
  • Experience with intellectual property matters, including protection, licensing, and commercialization.
  • Knowledge of privacy laws and compliance frameworks, including PIPEDA and GDPR.
  • Experience with government contracting and procurement processes.
  • Familiarity with aviation, drone, or other highly regulated technology industries.
  • Experience in aerospace, defense, robotics, or emerging technology sectors.

Compensation Package:
  • Competitive salary: $110,000 - $150,000 CAD
