Corporate Law Clerk About the Role Nanda & Associate Lawyers Professional Corporation is seeking an experienced, motivated and detail-oriented Corporate Law Clerk to join our growing Corporate and Commercial Law team. The successful candidate will support lawyers with mergers and acquisitions, share and asset purchase transactions, corporate reorganizations, commercial financing, incorporations and ongoing corporate record maintenance. This position is well suited to a law clerk who can manage files independently, maintain accurate records and coordinate transactions from opening through closing. Key Responsibilities - Assist with share purchase, asset purchase and other business acquisition and sale transactions. - Prepare transaction checklists, closing agendas, signature packages, closing documents and closing books. - Prepare initial drafts and supporting documentation for: - Letters of Intent - Asset Purchase Agreements - Share Purchase Agreements - Shareholder and Unanimous Shareholder Agreements - Partnership Agreements - Non-Disclosure Agreements - Employment and Independent Contractor Agreements - Corporate resolutions, certificates and ancillary closing documents - Assist with corporate and legal due diligence, including reviewing minute books, corporate searches, contracts and disclosure materials. - Incorporate federal and Ontario corporations and prepare organizational resolutions and minute books. - Maintain corporate records, including annual resolutions, director and officer changes, registered office changes, share issuances, transfers and cancellations. - Prepare documentation and filings for corporate reorganizations, amalgamations, continuances, amendments, revivals and dissolutions. - Assist with tax-driven corporate reorganizations in coordination with lawyers and accountants. - Support commercial lending and secured financing transactions. - Conduct corporate, PPSA and other transactional searches. - Prepare and register PPSA financing statements, amendments, renewals and discharges. - Organize and maintain physical and electronic minute books and corporate records. - Coordinate document execution and closing deliverables. - Liaise professionally with clients, accountants, lenders, government offices, opposing counsel and other transaction participants. - Monitor critical dates, outstanding documents and post-closing requirements. - Manage multiple files and competing deadlines while maintaining accuracy and attention to detail. - Provide general support to lawyers on complex corporate and commercial matters. Qualifications - Law Clerk diploma or equivalent legal education. - Minimum of 3 years of relevant Ontario corporate and commercial law experience. - Strong experience with incorporations, minute books, annual maintenance and corporate filings. - Practical experience assisting with share purchases, asset purchases and corporate reorganizations. - Familiarity with the Ontario Business Registry and Corporations Canada. - Experience conducting corporate and PPSA searches and registrations. - Strong document-production, proofreading and organizational skills. - Ability to manage files independently while working collaboratively with lawyers and other team members. - Excellent written and verbal communication skills. - Strong attention to detail and ability to meet transaction deadlines. - Proficiency with Microsoft Office and legal practice-management systems. - Experience with corporate record-management software is considered an asset.
