Experience is a Must - 5 - 10 year t least in this area of law
You will manage and maintain all corporate records and will perform and will handle all duties pertaining to incorporation and corporate structure changes and will attend meetings with the lawyers.
drafts and reviews documents relative to amendment, amalgamation, export/import, dissolution, including the maintenance/update of active and closed corporate records that are both on and off site
coordinates large closing documents and searches, attends closing and reports on other matters for the transaction
ensures that any name changes and amalgamations are cross referenced
tracks annual returns and renewal of business names etc.
drafts special charter incorporation (not-for-profit and charities)
produces general reports respecting annuals; registration expiry dates, entity list; financial year ends; lawyers list; active/inactive entities etc.
purges inactive minute books and files
updates ticklers respecting PPSA registrations, Business name Registration, etc.
reconciles accounts from service providers, PPSA, Bank Act etc.
conducts various searches for commercial transactions which include; corporate searches, PPSA searches and registrations, Bank Act searches, Bankruptcy searches,
Litigation searches, Bulk Sales Act Searches, Extra Provincial/Out of Provide searches, etc.
