The Co-operative Retailing System (CRS) is a unique, multi-billion dollar organization based on the fundamental principles of co-operation. It is comprised of a network of approximately 235 autonomous retail co-operatives across Western Canada along with their branch operations, and Federated Co-operatives Limited (FCL). FCL is the wholesaling/manufacturing arm of the CRS, which provides the retail co-ops with a range of products and services. FCL invites applications for the position of Corporate Counsel in our home office located in Saskatoon, Saskatchewan.
Reporting to General Counsel, responsibilities for this position include the following:
1. Provide legal and business advice and opinions to business units on a variety of subject matter including (but not limited to) the preparation, review and interpretation of legal documents, agreements and contracts; commercial transactions; acquisitions; corporate finance; bidding and contracting; intellectual property; equipment and real property leasing and purchasing; procurement; employment; competition law; privacy; environment; non-disclosure agreements; and, general regulatory compliance. Undertakes research, interprets and analyzes information and presents options, opinions and implications.
2. Monitor and advise on changes to laws and/or legislation having an impact on FCL or its Retail members; interpret and advise on the Canada Co-operatives Act and Regulations as well as the co-op acts and regulations in the four western provinces. Provide in-service training and education on legal and risk management issues.
3. Oversee legal department precedents and records. Manage file retention system including the review of files slated for destruction.
Candidates must have a Juris Doctor or Bachelor of Laws Degree with 4 to 8 years of related legal experience and must be a member in good standing of the Law Society of Saskatchewan. This position requires knowledge of federal and provincial statutes and general legal principles associated with corporate commercial transactions, construction, real estate, employment, environment, and corporate governance. Excellent communication, leadership, and interpersonal skills are required.
