Senior Legal Counsel
The role of the Paralegal will be primarily to provide technical and administrative support to the Legal Affairs team.
Under the direction of the Senior Legal Counsel - Commercial, the Paralegal will be responsible for:
-Ensuring that all minutes and resolutions of all legal entities are prepared and that all corporate records are kept up-to-date and in conformity with applicable constituting and registration acts;
-Preparing all necessary constating documents (i.e. articles of incorporation, partnership, etc.) and effecting all business filings required for the creation of new legal entities;
-Collaborating in the context of litigation files and commercial transactions (preparing first drafts of agreements, preliminary review of contracts, NDAs and other normal course transactions);
-Preparing and filing with applicable governmental authorities all annual corporate filings and notices effecting changes in the directors, officers, shareholders, banking arrangements, etc. of all entities;
-Participating in the design and implementation of tools and procedures, including performing legal researches;
-Liaising with outside counsels whenever necessary;
-Assisting in the management of the Legal Department filing, budget tracking, contract management and record-keeping system;
-Coordinating and monitoring the calendar for the annual meeting of shareholders in conformity with all applicable laws and regulations;
-Working in collaboration with the corporate secretary for mailing to directors of information material for Board of Director’s or committee’s meetings;
-Perform other related tasks.
College diploma ( D.E.C.) or paralegal studies, or equivalent.
3 years of experience as a paralegal in a similar position.
-Fluently bilingual (English/French), spoken and written;
-Proficiency with Ms Office;
-Resistant to stress, great capacity to manage multiple files at the same time;
