CORPORATE PARALEGAL

Experience and Education Required:

  • Minimum of 5-7 years’ experience as a Corporate Paralegal; large firm experience will be considered an asset
  • Be a graduate of an accredited Paralegal program
  • Advanced knowledge of ALF Corporate

Job Description, Knowledge and Qualities:

  • Superb knowledge of BC federal corporate legislation;
  • Ability to complete BC and federal incorporations, extra-provincial registrations, annual maintenance documents, facilitating day-to-day corporate transactions (director/officer changes, share allotments/transfers, dividends), company alterations, continuations, amalgamations, reorganizations, dissolutions and other ancillary corporate matters
  • Expertise in drafting complex resolutions;
  • Assisting with commercial and corporate transactions, including preparing closing and other documents;
  • Conducting corporate searches and other due diligence requests including intellectual property, real property and PPSA searches;
  • Preparing annual and special meeting materials, including information circulars and meeting notices, proxies and other materials, coordinating printing and liaising with the transfer agent and the company as needed;
  • Identifying and correcting minute book deficiencies (BC and federal);
  • Preparing private placement documents including subscription agreements, reports of exempt distributions, treasury orders, resolutions and other documents;
  • Ability to create SEDI and SEDAR profiles, insider reports and complete filings
  • Gathering billing, litigation and other information to prepare draft responses to auditors’ request letters
  • Provide assistance, training and advice on ALF Corporate;
  • Dedicated to providing quality service to clients and consistently meeting expectations by providing service beyond expectation;
  • Excellent organizational and time management abilities required;
  • Ability to multitask, establish priorities, work independently, and proceed with objectives under minimal supervision;
  • Strong attention to detail, and work effectively under pressure while providing leadership to the team;
  • Strong technical aptitude with advanced technical skills in MS Office and ALF Corporate; ALF administrator and coding abilities would be an asset;
  • Demonstrates leadership experience, able to oversee others in a work group;
  • Any securities experience would be considered an asset
